Orders / Contracts
When orders placed through the Sherwininc.com site, the purchaser acknowledges that:
(i) the placing of the order signifies purchaser's assent to place that order with the Sherwininc.com site and that it will be accepted by Sherwininc.com upon successful processing of the order.
(ii) the purchaser typing their name when requested to do so by the Sherwininc.com site constitutes a signature to contract
(iii) the purchaser has the full authority to enter into the contract for such entity, and such grant of authority was indicated by purchaser through placement of an order on the Sherwininc.com site.

Shipping - General
Unless otherwise agreed upon all sales are FOB shipping point (South Gate, CA or Burlington, KY USA)
Title to merchandise will transfer to purchaser upon delivery to the carrier.
Purchaser can provide their chosen carrier account number for direct billing.
Handling and insurance charges will be included in shipping charge.
Loss or damage in transit is responsibility of purchaser; Sherwininc.com will provide information for processing claims

Shipping - US Mainland
Unless otherwise requested by the purchaser all orders will be shipped by UPS or FEDEX.

Shipping - Export
Unless otherwise requested by the purchaser all orders will be shipped by UPS, FEDEX or Cheapest Method
Any / all export fees are to be billed to purchaser
Buyer is responsible for any / all import duties and charges in their own country

Partial Shipment - US Mainland & Export
Sherwininc.com reserve the right to make partial shipments.

Returns Policy
Sherwininc.com will accept return goods for exchange / credit as long as:

1. goods are returned within 30 days of the date of original shipment.
2. customer MUST receive RMA # from Sherwininc.com prior to shipping back their product.
3. the goods are regular catalog items - special order items cannot be returned.
4. the returned goods are verified in as-new "re-saleable" condition, properly repackaged, along with all accessories, certifications and documentation.
5. all freight charges, customs clearance charges, duties and any other related charges associated with returned goods are paid for by the purchaser. Freight collect shipments will be refused, unless pre-authorized.
6. all return shipments are received by Sherwininc.com within a reasonable time after the authorization date.
   Failure to comply with all / any of above may result in denial of exchange or credit.

Payment Methods
All payments must be made in US Dollars (USD)

1. Credit Card
   Sherwininc.com accepts VISA, MasterCard & American Express credit card payments.
   Purchaser must provide card number, expiration date, security and/or zip code and name of cardholder, as it appears on the card.
2. Open Account
   Purchasers with open credit account will have 30 days from the date of invoice to make payment.
   Purchases wishing to establish an open credit account with Net 30 terms must provide:
   (i) their bank information
   (ii) at least three credit references from US based suppliers (for similar value of credit)
   Shipments cannot be released until the Sherwininc.com has positive responses from references.
3. Wire transfer.
   International customers my pay by wire transfer generally prior to shipment. All costs of wire transfer must be paid by purchaser. A processing fee of $28 appliesto all orders.

Product Information
Sherwininc.com undertakes to keep product information accurate and up to date but makes no warranties, expressed or implied to the accuracy of the web site data.

Warranty disclaimer
No warranty or affirmation of fact, express or implied, other than expressly set forth herein is made or authorized by Sherwininc.com.

Sherwininc.com disclaims any and all liability for product defect claims except for products manufactured by Sherwin Inc. which are certified by Sherwin Inc. All Sherwin manufactured product defect claims must be verified as a valid claim.

Sherwininc.com does not:-

1. express or imply a warranty that any product on the web site is fit for a particular purpose, please call for specific application of product before ordering.
2. manufacture the products or provide the services offered by other manufacturers.
3. provide any warranty concerning the offered products and/or services of other manufacturers.

No Warranties to Consumers
Sherwininc.com’s warranty does not apply to those defined as consumers in the Magnuson-Moss Warranty-Federal Trade Commission Improvement Act.

Force Majeure
Sherwininc.com shall not be liable for any delay in or impairment of performance resulting in whole or in part from Acts of God, service interruptions, severe weather conditions, labor disruptions, governmental decrees or controls, insurrections, war risks, shortages, inability to procure or ship product or obtain permits and licenses, supplies or raw materials, or any other circumstances or causes beyond the control of Sherwininc.com in the conduct of its business.

Change of Terms
Sherwininc.com acceptance of any order is subject to purchaser's assent to all of the terms and conditions set forth herein, and purchaser's assent to these terms and conditions shall be presumed from purchaser's placement of an order using the Sherwininc.com web site order system.
Any other terms and conditions are rejected, and no addition or modification of the terms and conditions shall be binding without Sherwininc.com prior written agreement.

Copyrights and Trademarks
Purchaser acknowledges that they have no right, title or interest in the copyrights or trademarks in the products, and purchaser covenants that it will take no action to register or otherwise interfere with such rights.

Complete Agreement
The terms and conditions in Sherwininc.com web site, including forms, acknowledgments, quotations, invoices and sales terms and conditions, are incorporated herein by reference and constitute the entire and exclusive agreement between Sherwininc.com and purchaser.
